Apart from the impacts outlined below, the intra-group restructuring will not have any further consequences for you as unitholder of the Fund. In particular, the replacement will not result in increased fees to be paid out of the Fund’s assets while all other service providers of the Fund (such as depositary and paying agent, register and transfer agent as well as the investment manager) will remain the same.
The restructuring has the following two consequences for the Fund:
(i) GAMAX Management AG will be merged with the larger Mediolanum Group management company, Mediolanum International Funds Limited, having its registered office at 4th Floor, The Exchange, Georges Dock, IFSC, Dublin 1, Ireland (“MIFL”). Prior to such merger, GAMAX Management AG will be replaced as management company of the Fund with effect as of 29/07/2019.
(ii) Further, Mediolanum Asset Management Limited (Investment Manager for the Fund) has been merged into MIFL with effect as of 1 April 2019. Thus, MIFL is since such date also acting as portfolio and cash manager of the Fund and its sub-funds. The persons and teams in charge of the portfolio and cash management of the Fund and its sub-funds will however not be changed.
MIFL is authorized by the Irish regulator Central Bank of Ireland as a UCITS Management Company and as an Alternative Investment Fund Manager. It has an authorized share capital of 6,250,000 EUR and allotted, called up and fully paid capital of 163,185 EUR. It will provide management company services in Luxembourg under the freedom to provide services in accordance with the Luxembourg law of 17 December 2010 on undertakings for collective investments, implementing Directive 2009/65/EU, as amended. MIFL has currently 33 billion EUR assets under management and is managing about 53 investment funds (including 51 UCITS).Further information as regards MIFL can also be found in the internet on the following website: www.mifl.ie.
As a result of the replacement of GAMAX Management AG by MIFL, any information addressed to unitholders of the Fund, including notices, the prospectus and the management regulations of the Fund, the key investor information documents, the annual and semi-annual reports, the principles concerning the best execution, exercising of voting rights as well as the avoidance of conflicts of interest as well as any other information can in future be requested from MIFL and will continue to be available free of charge on the following website: www.gamaxfunds.com .
The aforesaid restructuring will be reflected in an updated version of the prospectus of the Fund, dated July 2019, which will also be available free of charge from MIFL as well as on the following website: www.gamaxfunds.com.
